1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Noxi (accessible at noxi.ai), an AI-powered presentation generator ("Service"), operated by Noxi ("we", "us", or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. We may update these Terms from time to time; continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old (or the applicable minimum age of digital consent in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To access certain features, you must create an account using an email address and password, or by signing in through a third-party provider such as Google ("Third-Party Login"). When you register, you agree to:

• Provide accurate and complete information during registration.
• Keep your login credentials secure and confidential.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity under your account.

We reserve the right to suspend or terminate accounts that are inactive for an extended period, or that we reasonably believe violate these Terms.

4. Description of Service

Noxi provides an AI-powered platform that generates professional presentations from text prompts, uploaded documents, and images. The Service includes:

• AI-generated slide content, layouts, and design recommendations
• AI-generated and AI-edited images for use within presentations
• Presentation editing tools (text, images, branding, layout customization)
• Export functionality (PDF, PPTX formats)
• Presentation storage, sharing, and collaboration features

AI-generated content is provided on an "as-is" basis. While we strive for high quality, AI outputs may occasionally contain errors, inaccuracies, or inappropriate content. You are responsible for reviewing and verifying all AI-generated content before use.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Attempt to gain unauthorized access to the Service, other accounts, or underlying systems
• Use automated tools (bots, scrapers) to access the Service without our written consent
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to generate spam, phishing, or misleading content
• Overwhelm or disable the Service through excessive requests or denial-of-service attacks
• Resell, sublicense, or redistribute the Service or its output without authorization
• Use the AI features to attempt to generate content that bypasses safety filters

7. AI-Generated Content

The Service uses artificial intelligence models provided by third parties (including Anthropic, OpenAI, and Google) to generate content. You acknowledge and agree that:

• AI-generated content may not be unique; similar prompts by different users may produce similar outputs.
• AI-generated content may contain factual inaccuracies, biases, or errors. You are solely responsible for verifying accuracy before relying on or distributing such content.
• We make no warranties regarding the originality, accuracy, or fitness for any particular purpose of AI-generated content.
• Your prompts and input data may be processed by third-party AI providers in accordance with their terms and privacy policies.

8. Intellectual Property

The Service, including its design, user interface, code, branding, graphics, and documentation, is the property of Noxi and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service itself (as opposed to the presentations you create using it) without our prior written consent.

9. Third-Party Services

The Service integrates with third-party services, including but not limited to Google (for authentication), Anthropic and OpenAI (for content generation), and Google Gemini and Evolink (for image generation). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

Optional Noxi connectors for third-party AI clients such as Claude, ChatGPT, or Codex may be offered separately. If you choose to connect one, you authorize Noxi to respond to that client only within the permissions you approve and the capabilities then available for your account. Connecting does not make your presentations public or authorize access outside the approved scope. You can remove the connection in the third-party client's settings, with the effect on access determined by that provider's settings, or ask Noxi to revoke the authorization. After Noxi revokes it, Noxi will reject future requests made under that authorization. The third-party service's own terms and privacy policy govern its handling of data Noxi returns to it.

10. Payment and Subscriptions

Some features of the Service may require a paid subscription. If applicable, pricing, billing cycles, and cancellation terms will be presented at the time of purchase. All fees are non-refundable unless otherwise stated or required by applicable law. We reserve the right to change pricing with reasonable notice.

11. Termination

You may stop using the Service and request account deletion at any time by contacting us at info@noxi.ai. We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise at our discretion.

Upon termination, your right to use the Service ceases immediately. We may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, and indemnification) will continue to apply.

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED CONTENT.

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times. We are not responsible for any loss of data, revenue, or business opportunities arising from your use of the Service.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOXI, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid us in the 12 months preceding the event giving rise to the claim, or $100 USD, whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless Noxi and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation first. If negotiation fails, disputes shall be submitted to binding arbitration or the competent courts, as determined by applicable law.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and may provide additional notice (such as an in-app banner or email notification). Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
